1. Overview

These Terms and Conditions ("Terms") govern your access to and use of stargen.co.uk and related products and services for AI-assisted creation of images and videos (the "Service"), operated by PRIMERENT VENTURES LTD, Company No. 15527691, 85 Great Portland Street, First Floor, London, England, W1W 7LT ("Company," "we," "us," "our").

By visiting the site, creating generations, purchasing or spending tokens, or using any part of the Service, you ("you," the "User") agree to be bound by these Terms. If you do not accept them, do not use the Service.

Important: Continued use of the Service after any changes to these Terms constitutes your acceptance of the new terms.

2. Key Definitions

Key Terms: Understanding these definitions will help you navigate the Service and these Terms more effectively.
  • Generation — an AI-produced asset (image or video) created from your prompts, settings and/or uploaded materials.
  • Output — the resulting file(s) from a Generation (e.g., PNG/JPG/MP4) available for preview and download.
  • Tokens — internal credits used to pay for Service features. Tokens are purchased as top-ups.
  • Asset(s) — all materials you provide (prompts, text, images, video clips, audio, logos).
  • Consumer — an individual using the Service wholly or mainly outside their trade or profession.
  • Business User — any user acting for business purposes.
  • Models/Providers — third-party AI models, hosting, rendering, or payment services we integrate to deliver the Service.

3. Eligibility, Accounts & Security

You must be 18 years or older or a duly authorised representative of a legal entity to register or purchase Tokens.

Provide accurate, complete, and up-to-date registration details and keep them current.

You are responsible for safeguarding your login credentials and for all activity under your account. Inform us promptly of any suspected compromise at info@stargen.co.uk.

Security Notice: Never share your password with anyone. We will never ask for your password via email or phone.

4. Acceptable Use & Content Rules

Prohibited Activities: Violations may result in immediate account suspension or termination.

4.1. You May Use the Service Only Lawfully and Ethically

You must not:

  • (a) create or distribute illegal content, including content that is defamatory, hateful, harassing, or sexually exploitative (especially involving minors or young-looking persons);
  • (b) generate deepfakes or realistic likenesses of real persons (living or deceased) without their consent, or in ways that infringe privacy, publicity, or data-protection rights;
  • (c) misuse trademarks, logos, copyrighted works, or third-party content without permission;
  • (d) attempt to bypass safety filters, probe or reverse-engineer the Service, or scrape at scale;
  • (e) upload malware or attempt to disrupt, overload, or interfere with the Service;
  • (f) use the Service in violation of sanctions, export controls, or for unlawful purposes.

4.2. Moderation & Enforcement

We may block prompts, moderate or remove Outputs, suspend accounts, and cooperate with authorities where required.

4.3. Compliance with Local Laws

If your jurisdiction imposes disclosure or labelling for synthetic media, you are solely responsible for compliance.

5. Tokens, Plans & Payments

You may top up Tokens via one-time purchases in the amounts shown at checkout (including any Starter/Creator/Studio/Custom options as displayed on the site from time to time).

Prices are shown in GBP. Any other currency equivalents are indicative and may vary due to FX rates and provider fees.

For convenience, our reference is 100 Tokens = £1.00 GBP.

Example: £10 purchase = 1,000 Tokens, £25 purchase = 2,750 Tokens (+10% bonus)

Token costs per Generation depend on the options you select (e.g., image vs video, aspect ratio, steps/quality, resolution, duration, number of variations, upscales). The UI shows the Token price before you confirm. Additional actions (e.g., re-render, upscale, extend video, remove background) may consume extra Tokens and will be shown before you proceed.

Payments are handled by third-party processors. Visa and Mastercard are available methods (subject to change). Access to paid features is enabled after successful settlement.

Tokens do not represent money, are non-transferable between users, have no value outside the Service, and cannot be redeemed for cash.

If fraud, chargeback, or payment reversal is suspected, we may freeze or deduct Tokens, restrict features, or suspend your account pending verification.

Warning: Fraudulent chargebacks may result in permanent account termination and legal action.

Taxes and processor fees (where applicable) are your responsibility and are shown or included as required by law.

6. Generations, Delivery & Availability

6.1. Generations are created automatically after Token confirmation. Process times vary by queue, model/provider load, and your selected parameters.

6.2. If a Generation fails for reasons within our control and produces no Output, we will credit back Tokens for that attempt. If partial Outputs are produced or you cancel after processing has started, Tokens may still be consumed.

6.3. We do not guarantee any specific visual/artistic outcome or uniqueness of Outputs, nor uninterrupted availability of Models, resolutions, or features.

6.4. Beta or experimental features may change, be rate-limited, or withdrawn at any time.

7. Cancellations & Refunds

Consumer Rights: If you are a Consumer in the UK/EU, you may have statutory cancellation rights.

7.1. Consumers — Unused Tokens

If you are a Consumer who purchased remotely, you may cancel a Token purchase within 14 days provided no Tokens from that purchase have been spent. Where applicable, refunds may be reduced by non-recoverable processor fees.

7.2. Digital Performance Start

When you start using Tokens for Generations, you acknowledge the immediate performance of digital content/services and agree that the statutory cooling-off right no longer applies to the spent portion.

7.3. Spent Tokens Are Non-Refundable

Tokens consumed on Generations or add-on features cannot be returned.

7.4. Service Faults

For significant technical faults attributable to us that prevent delivery or materially corrupt Outputs, we will (at our discretion): (i) re-run the Generation, or (ii) credit the Tokens used for that action.

7.5. Refund Process

Refunds (if any) are made to the original payment method where possible. We may request information to verify identity and prevent fraud.

7.6. Business Users

Statutory cooling-off rights do not apply to Business Users.

8. Your Assets & Our Limited Licence

8.1. You retain all rights in the Assets you upload or enter (e.g., prompts, reference images, logos you own).

8.2. You grant us a worldwide, non-exclusive, royalty-free licence to host, cache, process, transcode, display, and transmit your Assets and Outputs solely to operate, secure, and improve the Service, provide support, and comply with law.

8.3. You represent that you have all necessary permissions for your Assets, including any personal data, IP rights, or likeness/consent of identifiable individuals.

9. Output Ownership & Licence

9.1. As between you and us, and to the fullest extent permitted by law, you own your Outputs created via the Service, subject to: (a) compliance with these Terms; (b) any third-party rights embedded or referenced in your prompts/Assets; (c) applicable law in your jurisdiction (some countries restrict ownership of AI-generated works).

Ownership Note: You own the Outputs you create, but similar prompts by other users may produce similar results.

9.2. We make no guarantee of originality or exclusivity. Similar prompts/settings used by different users may yield similar Outputs.

9.3. You grant us a limited, non-exclusive licence to store and display your Outputs to you within the Service, provide support, run safety checks, and comply with legal obligations.

9.4. Training. We do not use your private Assets or private Outputs to train our models unless you explicitly opt-in. We may use aggregate, de-identified usage statistics to improve infrastructure and UX.

9.5. If an Output is alleged to infringe rights or violate law, we may remove or restrict access and request clarifications.

10. Privacy & Data Handling

10.1. We process personal data under the UK GDPR and Data Protection Act 2018. See our Privacy Policy for details of purposes, lawful bases, retention, international transfers, and your rights.

10.2. Account data, prompts and technical logs (timestamps, job IDs, IPs, device/browser data, error codes) may be retained for security, billing, abuse prevention, and legal compliance.

10.3. We apply reasonable technical and organisational measures appropriate to the risk. No method of transmission or storage is 100% secure.

11. IP Complaints & Takedown

11.1. If you believe content on the Service infringes your rights, email info@stargen.co.uk with: (a) identification of the work/right; (b) the allegedly infringing item/URL; (c) your contact details; (d) a good-faith statement and authority to act; and (e) your signature (typed is sufficient).

11.2. We may remove or disable access to disputed items and, where appropriate, notify the uploader/user.

12. Warranties & Disclaimers

12.1. We provide the Service with reasonable care and skill.

12.2. Except as expressly stated, the Service is provided "as is" and "as available." We do not promise uninterrupted access, error-free operation, specific visual results, or compatibility with all devices/codecs/players.

12.3. We do not provide legal, IP, advertising, or compliance advice. You are responsible for how you use the Outputs.

13. Limitation of Liability

Legal Notice: This section limits our liability in accordance with applicable law.

13.1. Nothing limits liability that cannot be limited by law (e.g., fraud, death or personal injury caused by negligence).

13.2. We are not liable for indirect or consequential losses (including loss of profit, revenue, business, goodwill, or data).

13.3. Our aggregate liability arising from or in connection with the Service shall not exceed the amount you paid for Tokens in the 12 months preceding the event giving rise to the claim. For a specific failed job, liability will not exceed the Token value consumed for that job.

14. Indemnity

You will indemnify and hold us harmless from claims, damages and reasonable legal costs arising out of: (a) your breach of these Terms, (b) your unlawful use of personal data, likenesses, or third-party IP, or (c) your Assets, prompts, or Outputs.

15. Third-Party Services & Links

The Service may use or link to third-party services (e.g., payment processors, AI model providers, storage/CDN). We are not responsible for their content, availability, or terms. Your use is governed by their policies.

16. Suspensions & Termination

16.1. We may suspend or terminate access if you breach these Terms, create legal/safety risk, engage in fraud/chargeback abuse, or if required by law.

16.2. Termination does not affect accrued rights/obligations. Minimal records may be retained for legal compliance.

16.3. Unspent Tokens in accounts involved in fraud, chargebacks, or unlawful conduct may be withheld or cancelled where permitted by law.

17. Changes to the Service & to These Terms

17.1. Features (including models, resolutions, durations, or pricing in Tokens) may be modified with reasonable notice where practicable.

17.2. We may update these Terms. Material changes will be posted on the Site and/or emailed. Continued use after the effective date constitutes acceptance.

18. Support, Complaints & Dispute Resolution

18.1. Contact support or file complaints at info@stargen.co.uk. We aim to acknowledge within 5 business days and provide a substantive response within 30 days.

18.2. If a dispute cannot be resolved, you may have the right to pursue ADR or a court claim. Your statutory rights are unaffected.

19. Governing Law & Jurisdiction

These Terms are governed by the laws of England and Wales. Courts of England and Wales have exclusive jurisdiction, except where mandatory consumer law provides otherwise.

20. Export Controls & Sanctions

You represent that you are not a sanctioned party and will not use the Service for or on behalf of sanctioned persons or jurisdictions in violation of applicable laws (UK/EU/US).

21. Force Majeure

We are not liable for delays or failures due to events beyond our reasonable control (including outages of providers, telecom failures, acts of God, war, terrorism, strikes, or new regulations).

22. Assignment

You may not assign your rights or obligations without our prior written consent. We may assign in connection with a merger, acquisition, corporate reorganisation, or asset sale.

23. Miscellaneous

23.1. If any provision is held invalid or unenforceable, the remainder remains in force.

23.2. A failure or delay to enforce any right is not a waiver.

23.3. These Terms are the entire agreement between you and us regarding the Service and supersede prior understandings.
